   - Hi there and thank you for asking this important question. All of the short-term debt is made up of personal loans that I have made to the Company over the years. (I am the CEO.)    - Hi Peter, and thanks for this great question. Yes, a third of our revenue comes from events such as CODAsummit. The spring conferences are smaller and topic focused, but our larger fall conference typically has 300-350 registrants, possibly 400 this year in San Jose (Oct. 4-6). But the majority of our revenue comes in the form of sponsorships - this year: Panasonic, Barco, Epson, SNA Displays and Adobe. Please let me know if you have other questions!

- Q: Hi Toni &amp; the CODAworx Team, congratulations on all your success so far. I, along with members of my community (Doriot Venture Club), am interested in investing but have some questions. Thank you in advance for your responses! 1) I’m genuinely impressed by the investor protections included in the round (Page 6 of your Form C. E.g. Anti-Dilution, Tag-Along Rights, etc.). But, would we as RegCF investors actually get to exercise these protections? In most RegCF deals I’ve seen, any material rights are either nullified or delegated to the CEO and/or Lead Investor. 2) Do you have any estimates to quantify the size of your target market(s) and, more importantly, the size of the segment you think you could capture? 3) Do you have any major competitors? If so, how do you differentiate? 4) In your campaign &amp; filings you mentioned 1) missed SBA and WEDC loan payments in summer 2023 and 2) estimates to become profitable by ~Jan 2024.   - A: Hello Dan, Thank you and your community for these excellent questions! I must admit that I do not have an immediate answer to the question about investor protections, so I will check with our attorney and respond to that in the next few days. As for the size of the public art industry, I will give you the numbers we now have on hand. Public art is an invisible industry, in that there are so many players and financial transactions that most people are not aware of. For example, creating a large sculpture involves an artist team, fabricators, lighting, technology (often), engineers, landscaping and installation, shipping and logistics. We have app. 35,000 of that international community in our database. We are just finishing up our major survey of the industry, and can say with conviction that it is at least $4 billion. Currently, we are capturing very little of those transactions (almost none), but we are in the process of developing a platform that will be able to capture a much larger percentage. The good news is that we are at the center of this universe, and have developed a very strong brand. The bad news is that the platform we are building will not be up and running until 2025. As for loan payments, we have negotiated a lower SBA loan payment for this year, and are working with WEDC on the loan payments. We have raised the money to develop this new platform and are hard at work on that. As a result of this development work, I do not anticipate that we will be profitable this year. - Q: I believe you owe all potential investors an answer to the exit strategy question. How will investors see a return on their investment and when can they expect to see that return? Fundamental information for investors.
  - A: Steve, Very good question, and as you say, important information for individuals considering an investment in CODAworx. There are several possibilities. At some point in the future, another company could purchase all or part of CODAworx. Or, a financial enterprise could make a substantial investment in CODAworx and, as part of the deal, offer to purchase shares of existing shareholders. Finally, CODAworx might decide to begin offering dividends to shareholders. I don't have a specific response for your timing question, as CODAworx is in growth mode, and much depends on monies raised and execution of plans. I hope this is helpful, and I'm happy to speak with you offline with more details!
- Q: You mention further rounds of investment will be required, how much further dilution can investors expect?
  - A: Steve, This current equity crowdfunding raise will provide funding to take us to the next level of growth, with clear data about the size of the public art industry. Beyond that, it depends on whether we believe that a larger, more substantial investment would grow the company to a point where the dilution is worthwhile to investors. I am not able to make that judgment today, but I suspect that, at some point in the future, we may decide to go for one more larger round. Thank you for asking.
- Q: So after this round, the post-money valuation will be roughly $10M. If I were to invest $100k in this round, then the post-money cap table should show that I own about 1% of the company - correct? Or are all classes of shares not created equal?
  - A: Steve, You are roughly correct, and the shares in this equity crowdfunding raise are Series A Preferred. With some minimal rights and preferences. Happy to discuss in more detail with you!
