# Boxabl

Housing meets mass production.

## Elevator pitch
Boxabl will mass produce room modules that stack and connect to create any custom building. We have invented a new way to manufacture buildings that we think can revolutionize the construction industry. To date we have produced demonstration homes but are in the position to mass produce homes following the acquisition of factory space. Goals, -Rapidly manufacture buildings faster than competitors -Reduce costs to lower than competitors -Outperform traditional buildings on ratings

## Story
Our first round was a huge success! If you missed it... don't worry. We are still accepting investments from accredited investors. (accredited means over $200k annual salary or $1m net worth) https://www.investor.gov/introduction-investing/general-resources/news-alerts/alerts-bulletins/inves...If you are not accredited then stay tuned... we have another offering in the works for the general public soon. Make sure to add your name to the listhttps://invest.boxabl.com/These are the terms of the new offering-Early access for accredited investors onlyWe are raising money to mass produce the world's most advanced building system and change the lives of billions of people around the globe.Accredited investors get early access and discounted price on our Regulation A+ exempt public offering. What is a regulation A+ public offering?https://www.ipohub.org/regulation-a-plus-mini-ipo/$50m OfferingConvertible noteConverts to equity at 25% discount with 10% interestConverts upon our SEC qualified Regulation A+ exempt public offering (we estimate 2-4 months)What is a convertible note?https://en.wikipedia.org/wiki/Convertible_bondWe founded Boxabl in 2017 and have invested over $2,000,000 of our own money into engineering and research to develop what we believe is the world's greatest building system. Boxabl is a new way to build housing that's better, faster, lower cost and can help solve the housing crisis. Our first product is a 20' x 20' pre-fab studio apartment that unfolds from a shipping container size. We can install it in any customer's backyard in about an hour. It's a great time for our 20x20 product because California laws have recently changed to create a booming market for accessory dwelling units. After the Casita is rolled out successfully we will introduce different sized room modules that stack and connect to build almost any building. We think our product is a solution for a large portion of the worldwide housing market. This includes, multi family, single family residential, disaster relief, military, workforce housing, and much more. Our team, which includes proven innovators, have put millions of dollars into developing this product and now we are ready to take on partners to bring this idea to the next level -a starter production facility that can produce 3,600 homes per year. Our flagship product is called the Casita. Its our smallest room module, 20x20, fitted out as a studio apartment. Although it has many use cases, our market focus is backyard houses in California. The Casita will ship to California for $50,000 including delivery. It can be set up in someone's backyard in less than a day. The product includes washer, dryer, fridge, stove, bathroom, kitchen, electric, HVAVC and more. It is turnkey, ready to go, just add your bed and couch. The Boxabl Casita should be more durable, energy efficient, higher quality and more upscale than traditional buildings.Backyard accessory dwelling units (ADU) are increasing in popularity, demand for these types of buildings is skyrocketing in California and other places. This is due to new laws that make the permitting process easier and faster, and allows these buildings to be built in more places. We have received interest from customers for Casitas that will far exceed our ability to supply product for the next several years. Beyond the ADU market, is general building construction. The planned Boxabl building system should be able to construct almost any building type. This means in the future our potential total attainable market size is very large. Today most buildings are built by hand, one at a time, in the field, we hope that our building system can change this and bring building construction into the factory.Believe Boxabl is on the right track? Well now is your chance to jump on board at this early stage. We think that after the first production Boxabl factory is up and running, the massive potential for this product will be clear and undeniable. Our first factory might make approximately ~300 Casitas per year. This is a very small amount of buildings VS total demand. If our first factory is a success, we expect to multiply the model many times. If you invest in Boxabl now, you are along for the ride on huge potential future growth of Boxabl, including new factories, possibly all around the world.Month 1-2 | Identify warehouse space, order basic equipment, continue modular approvalMonth 2-4 | Move to warehouse begin slow production ~1 house per week, most components outsourced.Month 4-6 | Transition to assembly line style production, output increases to 1/day, bring outsourced component manufacturing in house.Month 6-9 | Continue to onboard equipment, add shifts, streamline process.Month 9-12 | Begin rolling out other floor plans.Month 12+ | Ready with repeatable factory plans and suppliers, begin seeking franchise/partner factories for expansion, new capital raise for HEAVILY automated factoryAt Boxabl we plan to mass produce and sell room modules. We will sell them to licensed general contractors who will permit and install these units for the end user. We believe it's important for us to focus on manufacturing and bring on value added third party partners for other functions. Our initial product will be the Casita which is expected to retail for $50,000. Soon after we will expand to different models. We have partnered with Porsche Consulting, a Subsidiary of Porsche AG, to build houses the way Porsche builds cars. That means leveraging 80+ years of Porsche manufacturing expertise and over 600+ professionals to setup a Boxabl factory using automation, robotics, and assembly line principles.Isn't it time we build housing like we build everything else? These are forward-looking projections that cannot be guaranteed.BOXABL IS CONSIDERING UNDERTAKING AN OFFERING OF SECURITIES UNDER TIER 2 OF REGULATION A. ## FAQ
1. **What are the financing qualifications or criteria that you must meet in order to purchase as well as have the 30 year mortgage payments?**
 - These buildings will be financed the same as a traditional building. That means a bank mortgage or construction loan. Many other alternative financing routes also exist. If the Casita is placed in a backyard, it will likely be a refinance of the primary mortgage. I think one of the more popular options will be this https://www.fanniemae.com/HomeStyle/lender/index.html
2. **Nice video and offering! What is the maximum amount of "1st mortgage payment" on perk 1? Is this assuming 15yr or 30yr mortgage?**
 - There is no set maximum. It would be the total cost for the installed Casita on a 30 year mortgage term. Since install costs and mortgage terms can be different, the monthly payment might vary a bit.
3. **Are the "purchase orders" different than the 1500+ People that put down a deposit? Are purchase orders mainly from Corporate End Users or Commercial RE Developers?**
 - Yes they are different, purchase orders and letters of intent are from big company customers, like Builders/Developers who want to order hundreds or thousands of units. Then, we have a list of 10,000+ people who have joined the "waitlist", out of that 10,000+, 1,500+ have given us small deposits ranging from $100-$1200. These guys are mostly end users who want on for themselves. We anticipate the bulk of our orders will be from big companies who need workforce housing, disaster relief, large ...
4. **The investment type is a bit hard to find, is this classified as Regulation Crowdfunding, Regulation D and Regulation A+? Update: I think this is the answer buried somewhere :0 .. "We are seeking to raise up to $10,500,000 in this offering, with up to $1,070,000 coming from sa...**
 - Yes thats right! Unfortunately, the SEC rules make things a bit confusing. Out of the ~$10m, ~$1m can come from lower net worth investors, and the remaining ~$9m must come from high net worth investors. We have been exploring the potential of a Reg A+ offering, which would allow us to raise up to ~$50m from anyone. We thought it was important to setup the reg CF so that our friends, family, and early supporters who might not be "high net worth" could join us on this journey!
5. **So in layman's terms, how do we cash in in the long run? If one day, heaven forbid we want to sell :0, what are the ways to cash out? If the company is private, it would be to another private investor that we find? Or if public, on the public stock exchanges? Will there be div...**
 - A desirable outcome would be getting acquired or IPO. We want to cash out too. At the moment we are interested in the IPO route but wouldn't turn down other offers. At the end of the day, if we can execute on our vision, the potential market size is incredibly massive, we have designed the product to be compatible with almost the entire globe.

## Q&A
- Q: When is the factory / production site planned to break ground and when is it expected to be operational?
 - A: We are ordering manufacturing equipment right now and continuing to scale up. Our goal is to be producing 1 unit per day a year from funding.
- Q: Hi, 1. Did you finished your september funding campaign and with what results ? 2. Why are you launching a second funding campaign so soon ? Thanks, Dan
 - A: We are going to update everyone on this soon! Exiting news coming.
 - A: We are going to update everyone on this soon! Exiting news coming.
- Q: In terms of site selection, I did read about the cement anchor points. Assuming we have already paid for utility installs, inspections, land surveying, etc.., how much do you forsee foundations costing us (mainly labor and materials)? Also, will you have Cat Ethernet Jacks in a couple spots (wifi is not healthy).
 - A: We don't have any estimates for site prep costs. This is because costs vary wildly depending on what part of the country you are in, and other factors like site condition. Another benefit of our product is that the floor is extremely rigid, that means you don't need a full slab, you can do the lowest cost foundation option allowed by the local building department. It can even be supported by just 4 piers, one on each corner. There are many different foundation systems available. Personally I like helical piles as a potentially very low cost foundation solution. https://www.youtube.com/watch?v=6i1PDt9qqKg
- Q: Thank you Galiano for addressing my previous questions. What is the initial order from the federal government, and what application are they intending to use the casitas for (disaster,... workforce,... etc.)?
 - A: 120 Casitas used for base housing
- Q: Are you using Wefunder to only raise the $1,070,000 and another platform to raise the rest of the $10,500,000? Just curious as I see we are past the half way mark.
 - A: We can use Wefunder to raise the full amount. I am confident the $1,070,000 will sell out fast. We are sending all smaller investors to this platform. We do have ongoing discussions with some bigger investors and institutions who might take majority of the round, they may come on the platform or may negotiate more specific terms.
- Q: Are the "purchase orders" different than the 1500+ People that put down a deposit? Are purchase orders mainly from Corporate End Users or Commercial RE Developers?
 - A: Yes they are different, purchase orders and letters of intent are from big company customers, like Builders/Developers who want to order hundreds or thousands of units. Then, we have a list of 10,000+ people who have joined the "waitlist", out of that 10,000+, 1,500+ have given us small deposits ranging from $100-$1200. These guys are mostly end users who want on for themselves. We anticipate the bulk of our orders will be from big companies who need workforce housing, disaster relief, large low income developments, trailer parks and more. For example, we have had ongoing communications with SpaceX, they expressed interest in possibly purchasing 200+ units to satisfy immediate worker housing needs at their Texas rocket launch site. We hope to secure them as a customer in the future.
- Q: I just got an email from Wefunder saying my investment was cancelled. That is ridiculous because I made the investment on Sep 13, and I was asked to reconfirm my investment on Sep 18, which I did. It took 3 months to cancel my investment? The ongoing raise, presumably a Reg-D, does not even have a Valuation Cap. Although I liked the initial opportunity, I will have to pass this Reg-D.
 - A: So sorry about this. The law limits the amount we can accept from unaccredited investors. We apologize it took so long to process the refunds. We are going to have a new round soon with a bigger limit and hope to have you back then. Please see this post on the topic. https://wefunder.com/updates/139398
- Q: Hello, I haven't heard of any updates from Boxable and would like to know what's new? I expected to hear big news but have not received any emails about it. Can you please explain. Thanks.
 - A: Updates coming soon!
- Q: Hello, I haven't heard of any updates from Boxable and would like to know what's new? I expected to hear big news but have not received any emails about it. Can you please explain. Thanks.
 - A: We will send an email update soon. Meanwhile checkout this video it goes over the latest. Big Boxabl factory incoming! https://youtu.be/qVV6CyGJgZo
- Q: I invested 2310 in the first round, and upon opening an additional round, I invested 700 dollars My initial investment of $ 2,310 does not appear on my profile. What is the problem? Thank you
 - A: Please email support@wefunder.com
- Q: A few days ago there were over 180 investors in this round with over $400k in capital raised. Looking now there are 105 and the capital raised is at ~$175k at the time of writing. Can you explain what is causing the large fluctuation or why so many investors seem to be withdrawing from the round? Regards, Brandon Boatner
 - A: These numbers arent accurate. For some reason wefunder is adjusting them as we countersign contracts. We have several million dollars and several thousand investors.
- Q: When will there be another round for common investors, not just to accredited investors?
 - A: We will update you on this asap.
- Q: Hi Galiano, Can you please let us know what the initial order is from the federal government that you previously spoke about? How many casita units? Are they receiving a purchase number discount? What are their intended uses for the casitas? You may have accident missed the question before as I didn’t see a direct reply. Thank you. I was waiting on your response to reconfirm my investment in the company. Cheers.
 - A: Hi! Please email me gtiramani@boxabl.com We arent going to announce details of this order to the public just yet, but I am happy to explain privately through email.
- Q: Is this product re-boxable?
 - A: Yes!
- Q: Hi - Very interesting company. How do you compare against Connect Homes, Proto Homes and Blokable?
 - A: These other companies are home builders and real estate developers. They use some new techniques and will probably find a nice market niche for themselves. At Boxabl we want to supply a universal building system to builders, but dont want to instal the houses on site. We have created a building system that will be a generational leap in construction. Our goal was to create a system that could be compatible with mass production and factory automation, the other guys you mentioned are just building the usual way, but inside. We want the Boxabl factory to look like a modern automobile factory, the best example of modern manufacturing practices, automation, assembly line principles, and robotics Our buildings use all new materials and design that are compatible with factory automation. We have solved many other problems across the whole process including being the only company that can affordably ship these buildings ( with minimal site work) Our goal is to rapidly scale with factories that use our process all around the world and produce a massive volume of upscale buildings at a cost and speed that has not been possible before. We engineered a building system that can build majority of building types on the majority of the planet, and we intend to do just that.
