- Q: Can you share an update on the email we received? Without any update here, we are surprised to be asked to do something by the email.
  - A: Hi Bhavesh, thanks for your note. As stated in the email, we have decided the best course of action to grow the Blackbird brand is to join forces with Ahimsa Companies, which is putting together a well capitalized conglomerate of plant-based companies that will be better positioned to compete with larger food brands by consolidating middle and back office functions across many brands. After an 18-month indemnification period, the Convertible Noteholders of Blackbird Foods Inc. will be issued Consideration Shares in the new entity. We are required to disclose that theoretically some or all of the Consideration Shares could be withheld by Ahimsa to offset any post close claims against the company. In addition to significant financial support, Ahimsa Companies is able to offer the Blackbird brand strategic support across all CPG business functions, including Sales, Marketing, Operations and Logistics. - Q: when should we expect ROI?
- Q: Does Ahimsa require 100% participation by the note holders in order to go forward with the transaction? What, exactly, is the incentive for the note holders to sign up? It looks to me like the note holders are being elbowed aside by Ahimsa, and will be left with nothing when all is said and done -- I'm deeply skeptical that any "Consideration Shares" are ever going to be issued.
  - A: Hi Eric, thanks for your message. The deal will require a majority of Note Holders (by value) to agree. While we cannot guarantee the issuance of the Consideration Shares as outlined in the APA due to the theoretical possibility of post close claims against the company, our VC partners (who will be treated the same as our Wefunder investors) are satisfied by the terms of the deal and the likelihood of those shares being ultimately issued. We are very excited about this deal, as Ahimsa Companies is well capitalized and extremely committed to the success of its portfolio companies. - Q: Hello. I invested in your round on Wefunder, a convertible note, 20% discount. It seems like the CN terms were waived with the contract in 2024. How do we know how many shares we have?
  - A: Hi Adam,Thanks for your question. You are correct that the CN terms are no longer relevant. As a Wefunder investor, you now own actual shares in Plant Pizza Co dba Blackbird Foods. Wefunder investors own a total of 119,222 shares, out of 5,714,288 outstanding shares in the company. To determine how many shares you own, divide your investment amount by $292,030 (the total amount raised on Wefunder), and multiply that by 119,222.
