## FAQ
1. **Hi, great presentation. This raise checks almost every box, but with one big exception. Your valuation is so high here that investors here carry almost all of the downside risk. It is more than 33x the valuation you got on Shark Tank less than a year ago, even though your grow...**
   - Hey Alan! Thanks so much for the kind words and interest in our company. I hope I can answer your question. We went on Shark Tank in 2014, having done just about $200,000 in revenue. We raised then at a $3m valuation, almost 15x our revenue. In the last 12 months we have sold nearly $6.5m in product, and are raising at a $60m valuation, less than 10x our trailing 12 month revenue, and just 4x our 2021 forecast. So on on a revenue multiple basis, this investment is actually less expensive than...
2. **Will there be a return on investment?**
   - Hey Michael - That is definitely the goal! We are planning to at least double our sales again next year and continue to grow at a rapid pace beyond that. As it stands now we are sold in less than 5% of the total account universe in the US alone, not to mention the international opportunity. So there is a TON of white space to go after. As our revenues grow, our valuation grows providing returns to our investors in the future.
3. **Thanks! It seems the valuation is reasonable. I'm definitely leaning toward investing. A couple of questions about finances: 1. I was glad to see your answer to Will because cost of sales was an issue in 2019 but 55% is solid. As far as OPEX, how much of those costs are variab...**
   - Alan - thanks for the thoughtful questions. The beauty of breaking down the distribution/retail barriers in the alcohol industry is that once you've got the accounts and they are selling, it scales extremely quickly over a mostly fixed cost base. Of course we will be hiring more people, doing larger scale marketing activities, etc. however that will be a much smaller increase than the projected sales growth...so over time more and more falls to the bottom line. We offer very competitive salar...
4. **Great package here Future Proof team! Three questions... What do you plan on using this fund raise for? How much of a cash runway will this raise get you? Do you have plans for additional fundraising or does your financial model allow you to pay off debt and fund future growth...**
   - Hey Kyle - thanks for the great questions. We are using the fundraising to hire 4-5 more sales people, be able to do larger inventory runs, and pay off some short term debt we took on when Covid first hit. Our hope is that with a successful fundraising, exponential sales growth and our huge new margins we will be able to self fund all of the growth without needing to raise again. That is what our financial model shows but models do not always work perfectly and things can change. Should we re...
5. **Hi Justin and team, congrats on all your successes so far. Im a DJ myself and resonate with the brand, vision, product and team and i invested after the boardroom pitch so im excited to be part of this journey. Still i do have some questions. What are your 1yr 3yr and 5yr mile...**
   - Michaelangelo first of all thank you so much for your investment and belief in our company/vision. It means a ton. And we absolutely need to get you some boxes for your next show!! From the beginning we have said we want to be the Red Bull of the alcohol industry. To be more than just a product, but an experiential lifestyle brand centered around music and bringing people together across the world. When thinking about the next 1, 3 and 5 years...we like to think about the total account univer...

## Q&A
- Q: Looks like they sold 85% for $490M. Congrats team
- Q: $490,000,000 m. Congrats to all involved. That is a lot more the value you estimated the value would be. So as per my investment bet that the valuation would be equal or more than $60m being that the price of $490hm. And if that is the case, at close, when can I get my 8x return on my investment? Thank you in advance
- Q: Hi, great presentation. This raise checks almost every box, but with one big exception. Your valuation is so high here that investors here carry almost all of the downside risk. It is more than 33x the valuation you got on Shark Tank less than a year ago, even though your growth since then is less than 2x and you're still not quite profitable (but close!). You'd have to get to almost 2 billion in value for investors here to get the same valuation jump as Mr. Cuban is getting. Despite all of that I really want to be convinced! So much good here including strong endorsements, a motivated Lead Investor, close to break-even cash burn, great/realistic room to grow, reasonably recession-proof, and a huge potential customer base. Thanks!
  - A: Hey Alan! So on on a revenue multiple basis, this investment is actually less expensive than what Mark paid 6 years ago.
  - A: Additionally, it all depends on your risk/reward tolerance which of course varies quite a lot per individual. When Mark invested, we had barely proved out this concept. Now it's not a question of product/market fit, we know people want it...it's only about scaling as fast as we can! The investment now, while of course still with risks, is much less risky than it was 6 years ago. Our goal is to grow our sales significantly over the next few years. Industry multiples are typically based on revenue (anywhere from 6-12x), and so if you believe we can grow our revenues to $50m over the next 3-5 years (we certainly believe we can!) then there are substantial returns to be had by investing with us.
- Q: Now that the transaction has been completed, can you provide details on the timing of the first distributions?
- Q: Happy Tuesday! I just saw an a reuters article reporting 85% of the company has been sold to Anheiser Busch for $490,000,000. Congrats to all involved. I assume there is some degree of quiet period, but, when you are permitted to comment, can you please provide some insight as to how Wefunder Investors will be treated in this transaction. I was a March 2021 investor, I think the valuation at the time was $60mm - if that is the case, at close, can we expect approx. 8x return? Thank you in advance
- Q: Any 2024 investor updates?
- Q: It's nearly been two months since the news of the acquisition stake came out and we still have not heard from you?
  - A: were working through all the details, these things take time please have some patience more info to come soon
- Q: Hoping that WeFunder investors (either round) can hear from management soon on the Anheuser-Busch 85% stake for $490M?
- Q: No updates since February. Would like to know how the company is doing and how my investment is doing. When will we get an update? Thank you.
- Q: Hello, I invested back in May 2021 and haven't followed up until now. Wondering if there is anything specific I need to do to maintain my investor status. And have you set up carta or another platform where we can track the value of our investment?
- Q: Hi! Thanks for offering preferred stock on wefunder. A few questions. How has covid impacted your business? Were you selling to restuarants? If it has most helped your business do you feel this can be a sustainable advantage? With the increase in margins I would expect profitability soon. Can you touch on expected profitability if you hit your revenue targets?? I also love shark tank and have a little mr. Wonderful in me. Since we can't trade on the stock exchange how long till we expect starting to see a return? If you hit your revenue targets could we start seeing a dividend year 3 to 5?
  - A: Hey Thomas - about 95% of our sales are to off-premise (convenience stores, grocery stores, etc) so the silver lining from this covid craziness is that our sales have increased by huge amounts since March. June, July August and September were all record sales months. In fact we were profitable in August because of the sales growth along with our increased margins. Next year we will be profitable for the full year if we hit our 2021 revenue goal. I can't give you exact timelines for when you can expect liquidity for this investment, but I think 3-5 years is a reasonable estimate. I do believe that our focus in the off-premise as a value based product is a big advantage. Also that we are not in cans, as there is a major can shortage right now.
- Q: Can Wefunder/BeatBox please clarify whether the Future Proof Convertible Notes (Series 2021‑B) converted into equity before the acquisition, and if so, what share class they converted into and how many shares noteholders received? If they did not convert, will they instead be paid out as principal + accrued interest at closing?
- Q: Hello, Congratulations on the sale! When can we expect our K-1 Tax forms for the 2025 tax year?
- Q: You invested in BeatBox. A big company (AB InBev) agreed to buy most of the business for $490 million now, but you will only get your money later. They will buy the rest of the company in about five years using a formula that determines how much your shares are worth then. You won’t get cash now — you will get it later when the full purchase happens.
- Q: When will distributions be made for the acquisition? If that's how it works for the exit?
