## Story
Baby Vend- How it came to beMy name is Jasmin Smith and I am a single mother of twins who resides in Anchorage Alaska in what was named by CNN as the most diverse neighborhood in America (Mountain View). I started Baby Vend when my son used his last diaper while out Christmas shopping. I found myself stuck in the mall with a cart full of presents that needed to be paid for. I realized my choice was to leave immediately or figure out a solution. At that moment I realized how frustrating this scenario could be for other families and lactating mothers. I decided I wanted to help and create a company that centers around ensuring no family is left somewhere without access to supplies. I gathered up my friends and asked them if they were down to join me on this new journey and they said yes! Together we decided to ensure no family was left without the supplies they needed, no matter the location. After researching the market and seeing what was available and where we could fit in, we found a niche and launched! We promised ourselves to grow this company to the highest level for our kids and other families in need and create custom vending and product solutions that reach wherever traveling families find themselves. Why Support Us?Your support is directly tied to the goals and dreams of a founder and team with a story just like yours who developed this business from the group and has taken the steps to see it grow to the highest potential. Your support will allow us to accomplish 3 things.1. Upgrading our machines to a newer model that will allow us to serve the many families that now rely on Baby Vend. By getting new machines we will be able to serve more families as efficiently as possible because we will have machines that featureMore capacity for productsEasier transactions for the familiesA new range of productsMore size offerings to fit in our machines and products in diverse spacesBy having upgraded machines we will be able to accommodate the requests for more locations and ensure the easiest transaction possible (thus improving customer experiences). We are happy with our current locations but look forward to growing to become truly nationwide and bringing down the numbers on our waiting list. 2. We also want to add a full-time sales and business development position to our team. This will allow to have a designated department to service new and current locations and strategic partnerships and ensure the best onboarding and training experience.3. Further development of our "onboard" product offerings to service customers on planes, trains, boats, buses, etc. This campaign is important because it allow us to improve our machine technology and business processes but it will also allow us to serve more families in more locations (currently we have a waiting list and this support will help us get all off the placed). Our goal or beyond will allow us to purchaseour desired further customized machineresearch and development to finalize our "onboard" productshire a sales and business development coordinator to ensure the goals/processes/procedure/image of the company support new and existing locations and machine operators and encourage long term ownershipFor traveling families, this will be a game-changer.Not only will these machines make it easier for families to travel and add a sense of security but they will also lead to economic opportunities for individuals looking to run their own machine in their community. Families (mine included) will be able to enjoy the time together vs. stressing about what they did or did not pack. Families will be able to plan for their trip and know that the customized products and travel information that they need will be in all locations of trip. We Have Made An Impact AlreadyCurrently in 4 travel industry locationssocial media support tripled in a 3 month period of time to include posts with engagement from over 30,000 people.News coverage in over 10 states and 2 countries to include Black Enterprise, CNBC, Blacknews, American Way Magazine, The Points Guy and moreMachines located in 9 states and 27 citiesMachines requested in an additional 6 statesOffices in Anchorage Alaska, Fairbanks Alaska and Atlanta, GeorgiaStrong web presence (we are the top ranked and googled company)Community give back supporting homeless families and pregnant mothers and families Risks & ChallengesBecause we are currently operating the prototype machines we have been able to successfully document and address issues with our current machines and areas for improvement. ## FAQ
1. **Hello, this is a great idea. Do you have any direct competitors in this space? Also, is it difficult or does it take a long time to get machines placed and running in airports, train / bus stations etc., as many of these are run by city administrations or the federal government?**
 - Hi John We currently have a great relationships in the government and private a sector and are already in over 22 locations in over 7 states (with more to come). For us, it has not been hard to find locations due to our previous relationships and experience running many businesses and doing government contracting so we understand the processes, steps, logistical needs and compliance needs. 2. **Hi, upon conversion, do you all plan on remaining an LLC for tax purposes, and will the note convert into common or preferred equity?**
 - Hi Lucas, great questions! I am still working on this with our financial and legal advisors and will get back to you BUT in terms of the equity we are on track to do preferred equity
3. **How is the machine in the Mall of America going?**
 - Mall is America is going good and has had steady sales since moving in BUT it could better. We placed that machine and relied 100% on foot traffic and have not taped into any formal advertising. ## Q&A
- Q: Note expired months ago still no repayment from Founders. When will I get my repayment?
 - A: Hi Hector! Our most recent update from February 10, 2025 let all investors know that we were in the middle of acquisition and handling all business and accounting and payments. We explained this is our first time working with a business this size but working as quickly as possible and closely with out team and the new owners to handle all transactions. The acquisition is now done and all paperwork/payments/taxes handled so payments will be sent to wefunder with a week and then wefunder will do their process to calculate and send payments within 2-3 weeks. thanks for you inquiry!
 - A: thank your for your support
- Q: When do you anticipate closing this round? How many locations do you have, and how many do you expect to have by years end. What are your revenue predictions for 2022 and 2023?
 - A: Hi Adam, we will be closing this round next month. In addition, we are currently in 13 states and 30 cities and are in the process of 2 more states and 3 more cities. Our goal is state and city specific vs machine location specific. We would like to be in 20 states by the of the year with a minimum of 40 cities. Once this completes, we will be focusing on sales for businesses that need multiple machines and purchasing in bulk through their company in addition to our product kits sales. Our revenue goal for 2022 is 600,000 and our revenue goal for 2023 is $1,000,0000. Let me know if you have other questions
- Q: Great idea! I am interested in investing. Have you thought about partnerships (i.e. Popcom)?
 - A: Thank you so much! We are always interested in partnerships can you tell me more I’m interested and listening. jasmin@babyvendunlimited.com

There are vending companies who manufacture their own baby clothes and created vending machines to house their brand and on surface level they look similar to us but in terms of potential direct competitors we have identified 2 potentials but based of lack of social media activity, business model, machine technology and long term goals we are different and have a competitive advantage based off our SWAT analysis. thanks for the great questions!
- Q: Is there any updates to share?
- Q: Can anybody answer my previous question? The lack of reponse is not a good look. I even used the contact on the website and still got bo reaponse. You have to engage with potential investors to get investors. Nobody wants to invest in a non responsive company. That’s the main reason I didn’t reinvest and actually cancelled what I did invest. Good luck tho.
 - A: Hi Kay, thank you for being interested in Babyvend. We have had quite a bit of inquiries and emails coming through each day in excess of 100. We are moving as quickly as possible to be responsive. My personal business email is jasmin@babyvendunlimited.com In our office number is 907–90 9–8363 and we are open at 9 AM until 5 PM Alaska standard time. Would love to answer any questions that you have
 - A: I looked online to ensure we didn’t overlook anyone. I see that the contact form was filled out Saturday unfortunately we are not open on the weekends and Monday was a holiday. This is our first day back in the office and we are trying to be as responsive as possible❤️. I would love to answer all of your questions and appreciate the support
- Q: What’s the exit strategy? Company acquisition, IPO, franchise? Also what are the investor perks at the minimum $100 investment mark? I see they have investor perks but the details of it aren’t showing (or atleast I cant find it)
 - A: Hi Kay thank you for your message and we apologize for the delay. We closed for a staff retreat, and are closed on the weekends, and then there was a holiday so this is our first day back in the office, so we are working hard to respond to everyone as quickly as possible. We are not a franchise, we decided that was very risky and not as profitable for potential owners. There are no additional perks at the $100 mark aside from the terms in the convertible note. We just had a successful staff retreat and strategic plan last week so I am excited to share all of that information in our next monthly investor update and community newsletter. There is quite a bit to cut and paste but I’ll definitely do that and post by tomorrow.
- Q: Hello! I have been interested in starting a vending business and I truly love the vision you had when you started this company. I'm currently located on the East Coast and wanted to know - do you have a potential list (i.e. locations) as to where those who are on the waiting list are looking to set-up a machine? Also, is it difficult/challenge to own more than 1 vending machine? What if someone is looking to do so in various states? Thanks and I look forward to hearing from you soon. Be Well!
 - A: Hi Ahira, thank you for your comment and support! We do have a tracking system for people who have expressed an interest in our machines or currently have our machines so that they can see where machines currently are or are going or has open opportunities. It is not difficult to have more than one machine at a time, it definitely takes good time management and logistics and planning though. I would say start with one state and then grow your team and support system before venturing to more than one state (it's a good amount of work). If you have additional questions or need help please email our sales department sales@babyvendunlimited.com and they get you on the right track! The east coast has a lot of great opportunities. thanks again. -JASMIN
