   - Hi Jake , that’s a great question. StartEngine and WeFunder are both “portals”. That means they are third party hosts for companies who would like to raise capital. They are not affiliated with those companies, they merely “host” the offering similar to the way GoFundMe “hosts” crowdfunding donation raises. The difference is the SEC and FINRA must approve portals and they must handle a function or act as an intermediary. For example, they escrow the money until all the paperwork is signed by ...
3. **Do investors get dividends?**
   - Hi Adrian, because we are early in our life cycle, our goal is to invest any available cash into growing the company, so we currently are not offering dividends, but that is not to say that we will not in the future.    - Hi Keith, the valuation did not go down per se, we are offering Early Bird terms so if you invest before we reach a certain amount, then you get a discounted valuation or in this scenario 50% off the stock price. That's why you see the small red bar through the 18M and it shows the approximate $9M valuation, so essentially it's showing you are getting a discount. When we reach a certain invested amount, the early bird will go away and all future investors from that time will invest at the $18...

  - A: Hi Jake , that’s a great question. StartEngine and WeFunder are both “portals”. That means they are third party hosts for companies who would like to raise capital. They are not affiliated with those companies, they merely “host” the offering similar to the way GoFundMe “hosts” crowdfunding donation raises. The difference is the SEC and FINRA must approve portals and they must handle a function or act as an intermediary. For example, they escrow the money until all the paperwork is signed by both sides, in essence they act as a neutral middle man. For this service they take fees. WeFunder, in our estimation, had a lower overall fee so we, as Called Higher Studios, felt this was better for our third round, to be more cost effective. With regards to how it affects you, it doesn’t really affect you that much in our opinion. You own the stock of Called Higher Studios. StartEngine and WeFunder just “keep” a record of it. So, if you invested in Round 1 or 2 on StartEngine, then your record is kept through them. If you invest in Round 3, then your record is kept with WeFunder, it’s like having bank accounts at two different banks, it’s still your money/stock - they just keep a record of it for you. There are companies that keep records, like Carta, that are not portals so if we ever hire one of them then we can potentially combine them so you can see all your holdings in one place. So the answer is no, you do not have to move anything, you may just have two logins. One for StartEngine and one for WeFunder.   - A: Hi David, you are correct, in our opinion this is the main financial risk of this investment. If we are unable to secure funding for the film, then we would not be able to repay and the investors would have a lien on the project for as long as Called Higher Studios had the option to make the film.

  - A: Hi Randy, that’s a great question and thank you for asking it. It is because all previous investors own shares in the actual studio and not each individual picture. Similar to say, Lionsgate. As Called Higher Studios progresses, we hope to grow and do more projects per year, so we currently do not pay dividends and elect to use all available cash to attempt to grow the company. For example, people own shares of stock in Lionsgate. Last year, Lionsgate had a huge hit with John Wick 4, doing over $400M worldwide at the box office, but Lionsgate, to our knowledge (but please check on your own) has not paid a dividend since 2018, so investors in Lionsgate did not receive money just because one of their projects was successful. There are obviously a lot of differences between us and Lionsgate, but that element seemed a good example. Obviously we are not traded on an exchange, but our goal is to increase the value of the company and to hopefully get to a place where we can either pay dividends, list (if it makes sense), etc. Hope that helps and thanks again.
