## FAQ
1. **Hi, do you all plan on remaining an LLC for tax purposes, and are you profitable at this point in time?**
   - Great questions, Lucas! We expect to be profitable within 18 months, and yes, ABC will remain an LLC, giving tax distributions as appropriate.
2. **1. Are we going to own equity in ABC FinTech or tokens for it's holdings? 2. what is the projected income or CAP rate from the three properties already obtained? 3. Are you looking to invest in other cities besides Chicago? if so which ones? 4. how did you get to 38-42M valuat...**
   - Hi Eugene. Thanks for reaching out. I'll address your questions one by one: 1. You'll own equity in ABC FinTech LLC via the Wefunder SPV. The ABC Tokens awarded, as one per $100 invested, represent fractional ownership of the real estate portfolio. It was important to us that investors supporting ABC FinTech through this Wefunder raise also participate as token-holders. This happens outside of the Wefunder platform. You'll need to create an account on www.abctokens.com at the close of the rou...
3. **What is your current burn rate? Do you anticipate that accelerating in the coming months?**
   - Hi Justin, The burn rate is currently about $9,000/month, but it varies depending on the tech stack development and marketing campaigns. Both of which are controllable. We're also raising additional working capital from strategic partners (angels and VCs) that will provide enough runway to operate the next 24 months. However, we expect to be profitable in by Summer of 2023.
4. **Do you provide K1's to investors for tax benefits from investing in RE?**
   - Hi Taylor, First, I want to clarify that our offering on Wefunder is NOT an offer for ABC Tokens. The investment opportunity on here is for ABC FinTech, the operating company. ABC FinTech is raising working capital for marketing, legal expenses, technology development, etc., so the investment in ABC FinTech does NOT represent an interest in the commercial real estate portfolio. ABC FinTech is responsible for the ongoing management of the platform and for selling ABC Tokens to investors outsid...
5. **What is difference about ABC FinTech and other blockchain companies involved in real estate?**
   - Hey Garrett, Great question! We see A LOT of companies using blockchain to fractionize interest in specific real estate assets. While these companies will realize some benefits of using blockchain (i.e. lower barriers to entry, reduced administrative fees, instant transfer of value, etc.), we believe this doesn't solve the liquidity problem because in order to exit your investment, you'll have to find a buyer for that particular property. For this reason, ABC chose to fractionize the equity a...

## Q&A
- Q: Hello . Any update!
- Q: Looks like an interesting concept. Some of my questions/concerns: Will there be a limited number of tokens ever created or is it open ended? If tokens are not limited this represents dilution overhang - as the tokens can be created and sold to raise additional capital. How do you plan to control the rate of increase in the number of tokens as compared to the rate of growth of the assets? Are investors in the company only expected to win on capital appreciation only? Will dividends be paid on the investment in the company or the tokens, or both?
  - A: Kirston, 1) We have authorized 100 million tokens to be sold. We expect to deploy all 100 million over the course of roughly 10 years. 2) Tokens are sold at market value(currently $13.50/token based on independent appraisals of the property value performed quarterly) and as we sell tokens, those proceeds are invested into commercial real estate. There will always be a lag between the time tokens are sold and those funds being invested into real estate. It is better to exercise some patience and invest the money into the best deal POSSIBLE opposed to investing the money into the very first deal AVAILABLE to ensure the value of the tokens appreciate to their full potential. With that being said, we do have $50 million of extremely valuable deals in our pipeline to ensure that as we continue raising funds(selling tokens) that we have a concrete plan to execute. 3) We are taking the "Berkshire Hathaway" approach to our business model. Instead of distributing profits as dividends at the expense of growing the entire portfolio, we will be reinvesting profits directly into more commercial real estate. This will give us a larger advantage over our competitors, as well as ensure that our investors truly capture the full appreciation of the underlying asset(the equity in the real estate) instead of cutting themselves short by only capturing the cash flows of the asset. This approach will create more value for ABC Token holders while simultaneously creating more value for the investors in ABC FinTech. As the equity grows faster in ABC Tokens, the corresponding cash flows to ABC FinTech increase. We are excited for the opportunity to create REAL wealth for ALL of our investors!
- Q: And one last question before u get sick of me lol if the company ipos can investor's stay on long term cheers
  - A: If ABC FinTech goes through an IPO, you may hold your shares as long as you like.
- Q: Hi Mathew thanks for the updates how does how much we invest potentially determine our return is it how many tokens we have or dividends of the rent many thanks
  - A: The % of return will not change based on how much you invest, but your total returns will directly correlate with how much you invest. And for every $100 invested into ABC FinTech, we award you with 1 additional ABC Token.
  - A: Scott, we are breaking the mold of how people invest into commercial real estate. Traditionally, people have invested through public REITs. REITs are structure in a way that they are required to distribute 90% of profits as dividends, which means that investors are buying a future cash flow and not truly capturing the appreciation of the underlying asset(the value of the real estate). We have purposely structured ABC Tokens as a C-Corp so that we can reinvest profits into additional real estate holdings, which will continue to increase the value of the portfolio, the token price of ABC Tokens, as well as the cash flows into ABC FinTech. This is a major differentiator between ABC and the old way of investing. We look forward to the opportunity to grow our portfolio and to create wealth for you and all of our investors!
- Q: Hi there do investors make more money. When u acquire more properties or do we have to buy more tokens many thanks
  - A: Regarding investment through the platform (www.abctokens.com) into ABC Tokens, we expect a correlation between the performance of ABC's real estate portfolio and the ABC Token value. As ABC Tokens are sold to investors, ABC deploys that capital into quality commercial real estate investments that are carefully vetted by our team of experts. Assuming there's no unforeseen global economic meltdown, we believe that ABC can source and acquire commercial real estate with positive cashflow and significant upside for our ABC Token investors. And as ABC's real estate portfolio grows in value, the ABC Tokens are expected to appreciate because they are backed by the Net Asset Value (NAV) of the portfolio. ABC Token investors are never required to purchase more tokens, and a return on your investment will be realized when ABC Tokens are eventually listed (and tradable) on secondary markets. This will happen next year once there are enough token-holders and ABC Tokens in circulation to provide good daily trading value and fair price discovery.
- Q: Hi there how long would it take for investors to. Potentially earn money many thanks
  - A: Scott, Great question. We're targeting a 3 or 4 year exit for our Wefunder investors.
- Q: Hi there i was wondering how investors make money from the company many thanks
  - A: Hi Scott, Apologies for the delayed response. Could you please clarify the question? Are you asking how Wefunder investors make money when investing in ABC FinTech? If that's your question, as with all investments through Wefunder, investors are waiting for an acquisition, IPO, or something similar before seeing a return on their investment. Please let me know if I answered your question.
- Q: What is difference about ABC FinTech and other blockchain companies involved in real estate?
  - A: Hey Garrett, Great question! For this reason, ABC chose to fractionize the equity across the entire portfolio, with the intention of having thousands of ABC token-holders and millions of ABC Tokens in circulation before listing on the secondary markets, and thus creating maximum liquidity for our investors. Diversification is another differentiator. Since we're fractionizing interest in a portfolio of properties, every ABC Token represents an ownership interest in various property types (multi-family, retail, office, industrial, hotels, etc.) across different geographic regions (Chicago, Texas, Florida, etc.), instantly providing investors with diversification you don't find with the other blockchain real estate companies. And finally, the experience of our team also separates ABC from the others. When you look at the level of expertise, demonstrated by the 300 years of experience, we will put our team up against anyone.
- Q: Do you provide K1's to investors for tax benefits from investing in RE?
  - A: Hi Taylor, First, I want to clarify that our offering on Wefunder is NOT an offer for ABC Tokens. The investment opportunity on here is for ABC FinTech, the operating company. ABC FinTech is raising working capital for marketing, legal expenses, technology development, etc., so the investment in ABC FinTech does NOT represent an interest in the commercial real estate portfolio. ABC FinTech is responsible for the ongoing management of the platform and for selling ABC Tokens to investors outside of Wefunder. For these services, ABC FinTech receives an Assets Under Management fee from ABC Tokens Series LLC, the real estate holding company. ABC FinTech will be providing Wefunder with a single K-1 since your investment goes into a special purpose vehicle (SPV) and then it becomes Wefunder’s responsibility to provide you with the required documentation for your ownership in the SPV. Now, for investors who are purchasing ABC Tokens through our platform (www.abctokens.com), the answer is no. The entity is taxed as a c-corp. We're aiming to have tens of thousands of token-holders within several years and providing K-1s to all those investors would be a total nightmare. For that reason, ABC Tokens is taxed as a c-corp. Please remember, the ABC Token value is directly correlated to the net asset value (NAV) of the real estate portfolio, and our objective is to maximize the value of the ABC Token. We achieve this by reinvesting all profits (no dividends) to grow the real estate portfolio value, which in turn drives the appreciation for the ABC Token. Depreciation directly benefits the bottom line of ABC Tokens Series LLC, and since the tokens represent an interest in ABC Tokens Series LLC, the benefit is indirectly passed to all ABC token-holders through increasing the value of their tokens. Unlike a REIT, all profits are reinvested back into real estate to maximize the appreciation of the tokens for our token holders. Hope this helps, and we appreciate the thoughtful question!

- Q: 1. Are we going to own equity in ABC FinTech or tokens for it's holdings? 2. what is the projected income or CAP rate from the three properties already obtained? 3. Are you looking to invest in other cities besides Chicago? if so which ones? 4. how did you get to 38-42M valuation? 5. you mention a target exit of 3 years, what is the exit strategy?
  - A: Hi Eugene. You'll need to create an account on www.abctokens.com at the close of the round. 2. For our ABC Token-holders, we've projected returns of 15% - 20%. The projected IRR for the first three properties is 24.21% if disposed of in year five, thus far exceeding expectations. 3. Absolutely. We are currently negotiating deals in Texas and Florida. 4. The valuation is based on our projected growth of ABC Tokens which translates into AUM (assets under management) fees for ABC FinTech. The value of the company at 10X EBITDA at the end of year four is projected to be $114,268,394. Our internal proforma applied a 15% discount rate, and the value of the cashflow stream was $68,599,544, if exiting at 10X EBITDA after year four. These numbers were factored into placing the $38M - $42M value on ABC FinTech which gives our investors significant upside. Obviously as you go out further into the future the value grows significantly. 5. Profitable and rapidly growing businesses have many options. As with many Wefunder investments, certainly an acquisition or IPO would be a possibility.
- Q: Hi, do you all plan on remaining an LLC for tax purposes, and are you profitable at this point in time?
  - A: Great questions, Lucas! We expect to be profitable within 18 months, and yes, ABC will remain an LLC, giving tax distributions as appropriate.
- Q: Is there a roadmap to integrating with DeFi liquidity?
  - A: This is a fantastic question, and it's definitely on ABC's radar to address in the future. A bridge between security tokens and traditional crypto/defi will change the game for all players involved.
- Q: Hi there i was wondering if you are thinking about abc app at someday thanks
  - A: Hi Scott, While a future app is certainly possible, in the short-term our commercial real estate investment platform will only be accessible through web browsers. It's also worth noting that our website's UI / UX and the investor portal are currently being upgraded, and they will go live in about 90 days. Thank you for the question.
- Q: Hi there the plan is to get out after 4yrs but is there a opportunity for investors to stay in longer or trande some of there tokens and leave some in many thanks
  - A: Scott, This Wefunder investment is equity in ABC FinTech. We are aiming at a 4 year exit. The ABC Tokens you receive as a "sweetener" will be available for listing on an exchange. It is our intention for the tokens to become "unlocked" and open for both purchasing and selling on an exchange before the 4 year exit of the ABC FinTech investment.
